Nava AI Terms Of Use

These Terms of Use, together with all other disclaimers set forth on this website, (collectively, these “Terms of Use”) govern your access to and use of this website (the “Site”), which is owned and operated by Nava AI, Inc., a Delaware corporation (“Nava AI”, “we”, “our”, or “us”). These Terms of Use also govern your access to and use of all information, text, graphics, videos, audio content, chat communications, and other content, materials, and works of authorship, appearing on or accessible from the Site, including information, text, articles, graphics, videos, audio content, presentations, videoconferences, user input to the Services (“Input”), any output from the AI Services and any other Services (each as defined in the Nava AI Terms of Service), including based on the Input (“Nava AI Output”), and other materials, content and works of authorship on the Site that are owned or licensed by Nava AI (the “Content”) or those belonging to or originating from third-parties (the “Third Party Content”). Your access to and use of the Site and the Content are expressly conditioned on your compliance with these Terms of Use. If you have subscribed or signed up for any Services, including on an evaluation basis, the Nava AI Terms of Service will also apply to your use of any Nava AI Services (in addition to these Terms of Use).

Please read the following information carefully. By using the Site or Content, you indicate your agreement to be bound by these Terms of Use as set forth below. If you do not agree to these Terms of Use, promptly exit this Site and do not use the Site or the Content.

These Terms of Use are a legally binding agreement between each user (“you” and “your”) and Nava AI. By using the Site or Content, you agree that you understand these Terms of Use and that you consent to be bound by all of the terms and conditions of these Terms of Use. These Terms of Use set forth your rights and obligations with respect to your use of the Site or Content.

Nava AI may revise these Terms of Use at any time and from time to time, and by your continued use of the Site or Content you agree to be bound by revisions. All such updates and amendments are effective immediately upon notice thereof, which we may give by any means, including, but not limited to, by posting a revised version of these Terms of Use or other notice on the Site. It is your responsibility to periodically visit the “Terms of Use” link at the bottom of the Site to review the most current version of the Terms of Use. We expressly reserve the right to make any changes to these Terms of Use, or to the Site and its Content, at any time and from time to time, without prior notice to you. You may not modify or revise these Terms of Use but no modification of these Terms of Use by you is binding on Nava AI.

The Nava AI Site, Content, and the products and services of Nava AI provide educational information and resources only. By making this educational information available, Nava AI is not providing legal advice, and no attorney-client relationship is formed. In order to receive legal advice, you will need to retain a human attorney who is licensed to practice law in the United States and is experienced in immigration law.


Privacy

You agree to Nava AI’s Privacy Policy. Please consult Nava AI’s Privacy Policy for information and notices concerning Nava AI’s collection and use of your personal information. Information that you provide or that Nava AI collects about you and your organization, in connection with your access to and use of the Site, is subject to the Nava AI Privacy Policy, the terms of which are hereby incorporated into these Terms of Use by reference. You should review our privacy practices as described in the Privacy Policy.

License And Restrictions On Use

The Content of the Site, including the text, forms, images, audio and video, are copyrighted and the property of Nava AI and/or its affiliates, vendors and licensors, except that any Third-Party Content is the property of third parties. The Content of the Site may not be distributed, modified, reproduced, or used, in whole or in part, without the prior written consent of Nava AI, except that Nava AI grants you a nonexclusive, non-transferable, limited revocable license to access and view the Site and the Content (but not any Third Party Content) displayed on the Site while accessing the Site solely for your personal internal non-commercial use, and for no other purpose, and for you to download, view, and print a single copy of any Content posted on the Site, solely for your personal internal non-commercial purposes only and for no other purpose, and in each case subject to the restrictions set forth in these Terms of Use and, if you have subscribed to or signed up for any of our Services, our Terms of Service, provided that you keep intact all copyright, trademark and all other proprietary notices, and provided further that if different or additional terms including without limitation prohibitions or restrictions on downloading or livestreaming are otherwise communicated with respect to a particular videoconference, video, graphic, or other Content, those other or additional terms shall also apply and shall prevail over any inconsistent terms set forth herein and you agree to be bound by them as well. For purposes of these Terms of Use, any use of the Content on any other website or networked computer environment for any purpose is strictly prohibited.

As a condition of your use of the Site, you covenant and agree that your use of the Content of the Site shall not exceed the scope of the license granted above and that you will not use the Site or the Content for any purpose that is unlawful or prohibited by these Terms of Use. If you breach any of these Terms of Use or, if applicable our Terms of Service, your authorization to use the Site and any Content shall automatically and immediately terminate and you must immediately destroy any downloaded or printed Content.

You may not use automated systems (e.g., robots, spiders, etc.) to access the Site. You agree not to collect personally identifiable information of users of the Site or to sell or otherwise exploit that information. You agree not to use the Site in any manner that could damage, disable, overburden, or impair the Site.

Any rights not expressly granted by these Terms of Use are reserved by Nava AI and/or its vendors and licensors and not granted to you.

Certain Additional Prohibitions

You agree to Nava AI’s Content Policy. You agree not to do any of the following while using the Site or Content:

  • Post, publish, communicate, or transmit any text, graphics, video, audio or other content that: (i) is false or misleading; (ii) is defamatory; (iii) invades another’s privacy; (iv) is obscene, pornographic, or offensive; (v) promotes or exhibits bigotry, discrimination, racism, hatred or harm against any individual or group; (vi) infringes another’s rights, including any intellectual property rights; (vii) is in violation of Nava AI’sContent Policy; or (viii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability;
  • Access, tamper with, or use non-public areas of the Site, including without limitation any area or content that is accessible directly or indirectly through a hyperlink, Nava AI’s computer systems, or the email system of Nava AI;
  • Attempt to probe, scan, or test the vulnerability of any system or network or breach any security or authentication measures;
  • Attempt to access or search the Site or Content with any engine, software, tool, agent, device or mechanism other than generally available third-party web browsers;
  • Send unsolicited email, junk mail, “spam”, or chain letters, or promotions or advertisements for products or services;
  • Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Site or Content to send altered, deceptive or false source-identifying information;
  • Attempt to or assist anyone to reverse engineer, decompile or discover the source code or underlying components of the Site or the Content or any Nava AI Technology (as defined in our Terms of Service), including without limitation models, algorithms, or systems (except to the extent this restriction is prohibited by applicable law);
  • Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Site;
  • Impersonate or misrepresent your affiliation with any person or entity at Nava AI or any of its affiliates or partners or any or other authorized user, or with any product of service of Nava AI;
  • Modify, copy, lease, sell or distribute any of Nava AI’s products or services or technology, including the AI Services (as defined in our Terms of Service), Site, Content, or Nava AI Technology;
  • Represent that Nava AI Output or Content from the Site was human-generated when it was not;
  • Interfere with or disrupt the Site or Content, including circumvent any rate limits or restrictions or bypass any protective measures or safety mitigations Nava AI has placed on the Site or Content or Nava AI Technology.
  • Use Nava AI Output or Content from the Site or Nava AI Technology to develop models that compete with Nava AI.

You acknowledge that Nava AI has no obligation to monitor your access to or use of the Site and Content, but has the right to do so for the purpose of operating the Site, to ensure your compliance with these Terms of Use, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body.

Nava AI Property

All right, title, and interest in and to the Site and the Content and Nava AI Technology are and will remain the exclusive property of Nava AI and its licensors. The Site and the Content and Nava AI Technology are protected by copyright, trademark, and other laws of the United States and other countries. Except as expressly permitted in these Terms of Use, you may not reproduce, modify, or prepare derivative works or transformative works based upon, distribute, sell, transfer, publicly display, publicly perform, transmit, or otherwise use the Site or any Content. You may not copy or modify the HTML code used to generate web pages on the Site. Nava AI respects the intellectual property rights of others and expects our users to do the same. Unauthorized copying, modification, distribution, public display, or public performance of a copyrighted work is an infringement of the copyright holder’s rights.

Submissions

You acknowledge that if you contact Nava AI through the Site or submit information, materials, files, or documents to Nava AI through the Site, your information and message may be intercepted and accessed by third parties. You bear the risk of any such sensitive or confidential information becoming intercepted or accessed by any third parties. Nava AI disclaims any liability for any such unauthorized uses of information.

Third Party Websites And Content

The Site may contain links to other websites (“Third Party Sites”) as well as Third Party Content. Such Third Party Sites and Third Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by Nava AI, and Nava AI is not responsible for any Third Party Sites accessed through the Site or any Third Party Content posted on, available through or installed from the Site, including, without limitation, the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third Party Sites or the Third Party Content. If you decide to leave the Site and access the Third-Party Sites or to view or use any Third Party Content, you do so at your own risk. You should review the applicable terms and policies, including privacy and data gathering practices, of any Third-Party Site to which you navigate from the Site.

You acknowledge and agree that Nava AI is not responsible or liable for: (i) the availability or accuracy of any Third-Party Site; or (ii) the content, products, or services on or available from such Third-Party Sites. Inclusion of, linking to, or permitting the use of any Third Party Site or any Third Party Content does not imply approval or endorsement thereof by Nava AI or resources or the content, products, or services available from such Third Party Sites, and does not imply approval or endorsement of Nava AI, its products or services, by the owner or operator of such Third Party Sites or the content, products, or services available from such Third Party Sites. You acknowledge sole responsibility for and assume all risk arising from your use of any such Third-Party Sites. Nava AI makes no representations whatsoever about any such Third-Party Sites or Third-Party Content that you may access through the Site. When you access a non-Nava AI site, please understand that it is independent from Nava AI, and that Nava AI has no control over the content on such other website. A hyperlink to a non-Nava AI website does not mean that Nava AI accepts any responsibility for the content, or the use, of the linked website. It is up to you to take precautions to ensure that whatever you select for your use or download is free of such items as viruses, worms, Trojan horses and other items of a destructive nature. If you decide to access any of the Third-Party Sites linked to the Site, you do this entirely at your own risk.

Links To The Site

Without our express, prior and written permission, it is expressly prohibited to: (a) “frame” the Site or any Content thereof or otherwise cause the Site or any Content thereof to appear in a window with any other material that does not constitute Content of the Site; (b) cause the hyperlink to the Site or any Content of the Site to be displayed in any way that is disparaging to Nava AI or any entity that is affiliated or associated with Nava AI; or (c) otherwise imply or state that any type of relationship or special arrangements exist with Nava AI and any other entity.

Infringement Notices

Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement with respect to the Site should be sent to Nava AI’s designated agent. All inquiries not relevant to the following procedure will not receive a response.

As provided in the Digital Millennium Copyright Act (DMCA), we have designated the following individual for notification of potential copyright infringement regarding the Site: contact@trynava.ai

  1. If you believe any Content available through the Site infringes a copyright, please provide the following information to the person identified above (17 U.S.C.§ 512): A physical or electronic signature of the copyright owner or authorized agent;
  2. Identification of the copyrighted work(s) claimed to have been infringed;
  3. Identification of the material that is claimed to be infringing or to be the subject of the infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
  4. Information regarding how Nava AI may contact you (e.g., mailing address, telephone number, e-mail address);
  5. A statement that the copyright owner or its authorized agent has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
  6. A statement that the information in the notification is accurate, and made under penalty of perjury, and, if an agent is providing the notification, a statement that the agent is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Use Of The Site At Your Own Risk

Your access to and use of the Site and Content is at your own risk. Nava AI and any of its affiliates or licensors will have no responsibility for any harm to your computer system, loss of data, or other harm that results from your access to or use of the Site or Content.

Additionally, you may authorize certain parties or representatives to access certain Nava AI Services, such as our LORA (Letter of Recommendation Assistant) service, on your behalf. By granting access to our Services to a representative or a third party on your behalf, you acknowledge that Nava AI Output may contain private information that you provided as Input. Nava AI cannot guarantee that any of your private Input will be excluded from Nava AI Output generated to an authorized representative on your behalf.

You are responsible for maintaining the confidentiality of the user ID and password and are fully responsible for all activities that occur under your account. You agree to immediately notify Nava AI of any unauthorized use of your account or any other breach of security. Nava AI cannot and will not be liable for any loss or damage arising from any unauthorized use of your account. By providing us with your email address, you agree to receive all required notices electronically, to that email address.

Accuracy And Integrity Of Information

Although Nava AI attempts to ensure the integrity and accuracy of the Site, it makes no guarantees whatsoever as to the correctness or accuracy of the Site or the Content. It is possible that the Site could include typographical errors, inaccuracies, and other errors, and that unauthorized additions, deletions and alterations could be made to the Site by third parties. In the event that an inaccuracy arises, please inform Nava AI so that it can be corrected. Information contained on the Site may be changed or updated without notice. Nava AI does not guarantee the integrity or accuracy of any content uploaded to the Site by any user or by any other third party, including, but not limited to, the Third-Party Content, and Nava AI shall not be responsible for any content uploaded to the Site by any user, or by any other third party.

In addition, AI Services such as our LORA service and our Nava AI visa application counseling services, including AI visa qualification assessment, generate responses by reading a user’s request and, in response, predicting the words most likely to appear next. In some cases, the words most likely to appear next may not be factually accurate or complete. For this reason, you should not rely on the factual accuracy of output from our models. Given the technical complexity of how our models work, we may not be able to correct the inaccuracy in every instance.

All Nava AI Output is provided as-is and without any warranties or assurances as to suitability, relevance, accuracy, completeness, currency, or comprehensiveness. You are responsible for verifying all information contained in Nava AI Output. Without limiting the generality of the foregoing, you are advised to verify all Nava AI Output for accuracy prior to submitting any application, filing, petition, or correspondence to any government agency, employer, or other third party that contains any such Nava AI Output. Nava AI does not assume any responsibility or liability for the content, statements, or representations included in any such submissions made by you or on your behalf.

Nava AI generates advice based on information provided by users and limited data about U.S. immigration regulations, policies, and advisories. You understand that information and advice generated by Nava AI Output, including Nava AI’s Site, chatbot, and other products, might not always be accurate, comprehensive, and current. You should not rely on Nava AI Output as a source of truth or fact, or as a substitute for professional or legal advice. You must evaluate Nava AI Output for accuracy and appropriateness for your use case, including using human review as appropriate, before using or sharing it. Nava AI’s Site and chatbot may provide incomplete, incorrect, or offensive information and advice Nava AI Output that is not controlled or endorsed by Nava AI. If Nava AI’s Site or chatbot references any third-party products or services, it does not mean the third party endorses or is affiliated with Nava AI.

Data Collection And Storage

Nava AI’s chat-based service is designed to provide personalized advice on immigration matters, tailored to the information that users voluntarily input. Certain types of personal data, including but not limited to usernames; user account information, including names and email addresses; and specific chat-based information may be collected, harvested, stored, and analyzed by Nava AI to generate relevant advice and to improve our AI Service. Additionally, non-personal information, such as user interactions with the AI Services, may also be collected, stored, and analyzed. See our Privacy Policy for Nava AI’s data collection practices.

Ownership Of AI-Generated Content

Users acknowledge and agree that any content, advice, or information or other Nava AI Output generated by Nava AI’s AI Services during interactions remains the exclusive property of Nava AI. This includes, but is not limited to, advice, analyses, textual responses, LORA Output, and any other AI-generated Nava AI Output.

For good and valuable consideration, the receipt of which you hereby confirm, you hereby grant, and you represent and warrant that you have all rights necessary to grant, to Nava AI an irrevocable, perpetual, freely transferable, sublicensable (through multiple tiers), fully paid, royalty-free, and worldwide right and license to use, copy, reproduce, store, modify, adapt, publish, distribute, translate, and display your Input, including any Input incorporated into any Nava AI Output or used to create derivative works as part of or incorporate into any Nava AI Output for any of the following purposes: (a) to maintain and provide the products and services of Nava AI, including any AI Services; (b) to improve our products and services, including any AI Services, and Nava AI Technology, (c) to create new functionalities, features, products or services, including as part of our AI Services or other services or as new services that we may offer; (d) to create aggregated and de-identified information and reports; and (e) to perform such other actions as described in our Privacy Policy or as authorized by you in connection with your use of our services or the Site.

Disclaimers: The Site Is Available "As-Is"

The Site may be temporarily unavailable from time to time for maintenance or other reasons. Nava AI assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, or unauthorized access to, or alteration of, user communications or submissions. Nava AI is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, computer or mobile phone equipment, software, failure of email on account of technical problems or traffic congestion on the Internet or at the Site or combination thereof, including, but not limited to, injury or damage to your or to any other person’s computer, mobile phone, or other hardware or software, related to or resulting from using or downloading materials in connection with the Site. Under no circumstances will Nava AI be responsible for any loss or damage, including, but not limited to, financial injury or inaccurate or harmful advice, resulting from anyone’s use of the Site or the Content posted on or through the Site, or any interactions between users of the Site, whether online or offline.

The Site and all Content are provided “as is” (with all faults), without warranty, representation, or condition of any kind, either express or implied. Without limiting the foregoing, Nava AI explicitly disclaims any warranties of merchantability, fitness for a particular purpose, quiet enjoyment, quality of information, title, and non-infringement of third-party rights. Nava AI makes no warranty that the Site, Content, or services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. Nava AI makes no warranty regarding the quality of any services, products, or information purchased or obtained through the Site or Content, or the accuracy, timeliness, truthfulness, completeness or reliability of any information obtained through the Site or of the Content.

No advice or information, whether written or otherwise, obtained from Nava AI or through the Site or any Content will create any warranty not expressly made herein. You assume total responsibility and risk for your use of the Site and hyperlinked websites or any Content, including without limitation any Third-Party Content. No written or electronic information or advice given by Nava AI or its authorized representatives shall create a warranty or in any way increase the scope of this warranty. Without limiting the foregoing, Nava AI is not responsible or liable in any manner for any Third-Party Content posted on the Site or linked to from the Site.

NAVA AI EXPRESSLY DISCLAIMS ALL LIABILITY IN RESPECT OF ACTIONS TAKEN OR NOT TAKEN BASED ON ANY ADVICE OR OTHER NAVA AI OUTPUT OR OTHER OUTPUT GENERATED FROM ANY AI SERVICES OR ANY OTHER SERVICES. NAVA AI’S PROVISION OF THE SERVICES, ANY REPORTS AND ANY CONTENT, ADVICE, ANALYSES, COMMUNICATIONS AND ANY OTHER NAVA AI OUTPUT OR OTHER OUTPUT PROVIDED BY THE SERVICES, INCLUDING OUR AI SERVICES, ARE FOR GENERAL INFORMATIONAL PURPOSES ONLY.

YOU ARE RESPONSIBLE FOR ALL DECISIONS MADE, ADVICE GIVEN, ACTIONS TAKEN, AND FAILURES TO TAKE ACTION BASED ON YOUR USE OF OUR AI SERVICES, INCLUDING ANY ADVICE, ANALYSES, COMMUNICATIONS AND ANY OTHER NAVA AI OUTPUT OR OTHER OUTPUT PROVIDED BY THE AI SERVICES. OUR AI SERVICES USE MACHINE LEARNING MODELS THAT GENERATE PREDICTIONS BASED ON PATTERNS IN DATA. OUTPUT GENERATED BY A MACHINE LEARNING MODEL IS PROBABILISTIC AND SHOULD BE EVALUATED FOR ACCURACY AS APPROPRIATE FOR YOUR USE CASE, INCLUDING BY EMPLOYING HUMAN REVIEW OF SUCH OUTPUT.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, IN RELATION TO VISA APPLICATION COUNSELING SERVICES AND VISA APPLICATION REVIEW SERVICES (INCLUDING VISA APPLICATION FEEDBACK SERVICES AND OUR LORA SERVICES) AS PART OF ANY AI SERVICES OR ANY OTHER SERVICES, NAVA AI MAKES NO REPRESENTATIONS AND GIVES NO WARRANTIES WITH RESPECT TO (A) THE LIKELIHOOD OF SUCCESS IN OBTAINING A VISA, (B) WHETHER THE SERVICES WILL ENHANCE OR DETRACT FROM THE STRENGTH OF YOUR VISA APPLICATION, OR (C) ANY GUARANTEE THAT YOU WILL OBTAIN A VISA. NAVA AI SHALL NOT IN ANY WAY BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR YOUR FAILURE TO OBTAIN A VISA.

NAVA AI DOES NOT MAKE ANY, AND HEREBY DISCLAIMS ANY AND ALL, PROMISES, WARRANTIES, OR GUARANTEES WHATSOEVER THAT ANY VISA APPLICATION OR PETITION WILL BE APPROVED, GRANTED, ISSUED, OR OTHERWISE BE SUCCESSFUL. NAVA AI DOES NOT GUARANTEE ANY SUCCESSFUL OUTCOME WITH RESPECT TO ANY IMMIGRATION OR VISA MATTERS INVOLVING THE DIRECT OR INDIRECT USE OF THE SITE, CONTENT, OR ANY PRODUCTS OR SERVICES OF NAVA AI.

Indemnification

You agree to defend, indemnify, and hold harmless Nava AI, its subsidiaries and affiliates, and each of their trustees, officers, agents, contractors, collaborators and employees, from and against any claims, liabilities, damages, losses, costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Site or Content, your conduct in connection with the Site or your violation of these Terms of Use or, if applicable our Terms of Service, or of any law or the rights of any third-party.

Limitation Of Liability

To the maximum extent permitted by applicable law, Nava AI and its employees, faculty, staff, affiliates, vendors, licensors and other third parties mentioned on the Site, and any other party involved in creating, producing, or delivering the Site or Content, are neither responsible nor liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages whatsoever (including, without limitation, those resulting from lost profits, loss of good will, loss of business or revenue, lost data, or business interruption) arising out of relating in any way to the Site or any Content, or information contained within the Site, and/or any hyperlinked website, or your access to or use of, or inability to access or use, the Site or Content, whether based on warranty, contract, tort, or any other legal theory and whether or not advised or the possibility of such damages. Your sole remedy for dissatisfaction with the Site, services and/or hyperlinked websites is to stop using the Site and/or those services, whether or not Nava AI has been informed of the possibility of such damage, even if a remedy set forth herein is found to have failed of its essential purpose.

You specifically acknowledge that Nava AI is not liable for the defamatory, offensive, harmful, or illegal conduct of other users or third parties and that the risk of injury from the foregoing rests entirely with you. In addition, Nava AI and its affiliates will have no liability to you or to any third party for any Third-Party Content posted on or available from the Site, generated by the Site, or linked from the Site.

The limitations of damages set forth above are fundamental elements of the basis of the bargain between Nava AI and you.

Controlling Law And Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Texas exclusive of its choice of law rules. Any dispute, controversy or claim arising under, out of, in connection with or in relation to the Site or the Content or these Terms of Use will be exclusively resolved in the courts located in Texas and the U.S. District Court for the Western District of Texas, to the extent such U.S. District Court has independent subject matter jurisdiction, and each of the parties hereto waives any objection to jurisdiction and venue in such courts, provided that if you have signed up or subscribed for any Nava AI Services, the arbitration and dispute resolution provisions under our Terms of Service shall govern any dispute, controversy or claim arising under, out of, in connection with or in relation to any Nava AI Service to which the Terms of Service apply.

Severability

In the event that any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable, the remaining provisions of these Terms of Use will remain in full force and effect.

Waiver

Termination
